TERMS & CONDITIONS

1. General

These Terms & Conditions govern all sales and services provided by IndieCo Distribution, including:

  • direct‑to‑customer retail

  • wholesale distribution

  • 3PL fulfilment

  • 4PL logistics management

By placing an order or using our services, you agree to these terms.


2. Pricing & Payment

All pricing is listed in AUD. Wholesale pricing may exclude GST unless stated. Pricing may change without notice.

Payment terms:

  • D2C: due at checkout

  • Wholesale: prepaid or approved account terms

  • 3PL/4PL: invoiced monthly or per‑order

  • Late payments may incur fees


3. Minimum Order Requirements (Wholesale)

Wholesale orders may be subject to minimum order quantities (MOQ) or minimum spend requirements.


4. Product Availability

Stock levels may vary. If an item becomes unavailable, IndieCo will contact the customer or retailer with alternatives.


5. Order Acceptance

Orders are accepted once payment is confirmed or account terms approved. IndieCo reserves the right to refuse or cancel orders.


6. 3PL/4PL Service Conditions

Clients using IndieCo fulfilment services agree to:

  • provide accurate product data

  • maintain compliant packaging

  • ensure inventory accuracy

  • comply with carrier restrictions

  • pay all agreed service fees

IndieCo may refuse to store or ship unsafe or non‑compliant goods.


7. Limitation of Liability

IndieCo is not liable for:

  • indirect or consequential losses

  • retailer profit loss

  • customer misuse

  • delays caused by carriers

  • improper storage or handling by retailers or 3PL clients


8. Intellectual Property

All branding, logos, product descriptions, and marketing assets remain the property of IndieCo Distribution.


9. Governing Law

These terms are governed by the laws of Queensland, Australia.
